These Promotion Terms and Conditions (the “Terms”) set forth the rules governing the TRON Cashback Campaign sponsored and administered by Blockchain.com called “TRON Cashback Campaign” (the “Promotion”) and govern your participation therein. ELIGIBLE PARTICIPANTS MUST BE VERIFIED BLOCKCHAIN.COM USERS REGISTERED ACCORDANCE WITH THESE TERMS AND CONDITIONS. VOID WHERE PROHIBITED BY LAW OR RESTRICTED BY LAW.

1. Eligibility. Only individuals eighteen (18) years of age or older at the time of entry who hold a current and verified Blockchain.com Wallet, and are registered users during the Promotional Period (defined below), are eligible to participate in the Promotion. To qualify for the Promotion, participants must purchase a minimum of ₦50,000 or $50 worth of TRON (TRX) per reward instance (“Eligible Participants”). Please note that this campaign is not open to users based in the UK. Employees, officers and representatives and the immediate family members of the foregoing individuals of Blockchain.com or its affiliated and related companies, participating promotional partners, promotional and advertising agencies, webmasters and any company involved in the creation, design, execution, production or fulfilment of the Promotion are not eligible to enter.
   
   
2. Instructions to Enter Promotion. Entry for the Promotion shall run from Jun 9, 2025 at 00:00 GMT until Jul 6, 2025 at 23:59 GMT  (the “Promotional Period”). Reward distribution will occur weekly on Jun 16, 2025 Jun 23, 2025 Jun 30, 2025 and Jul 7, 2025 after which the Promotion concludes. Blockchain.com’s computer is the official timekeeping device for entry in the Promotion. Normal time rates, if any, charged by your Internet service or mobile provider will apply.
   
   When entering, you are required to provide complete and truthful information. Incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive or otherwise non-compliant entries may be disqualified from the Promotion at Blockchain.com’s sole discretion. Entries submitted by persons who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. You are not permitted to use any scripts, computer programs, robotic repetitive, macro, automatic, programmed or similar automated entry methods or agents to submit entries. To participate in the Promotion, you agree to be bound by these Terms and to comply with any and all applicable federal, state and local laws, rules and regulations. Receiving the Reward is contingent upon fulfilling all requirements set forth in these Terms.
   
   
3. The Reward Structure. Each Eligible Participant must make a Qualifying Purchase of at least ₦50,000 / $50 worth of TRON (TRX) to earn a reward of ₦15,000 / $10 in TRX. Users may accumulate smaller purchases (e.g., ₦20,000 + ₦20,000 + ₦10,000) to reach the minimum threshold. Only purchases made via the Blockchain.com Wallet between 00:00 GMT Jun 9, 2025 and 23:59 GMT Jul 6, 2025 will be considered. Any purchase outside this window will not count toward qualification. Larger purchases (e.g., ₦150,000 / $150 ) will earn a maximum reward of ₦45,000 / $30. Rewards are capped at this amount per participant across a maximum of three qualifying instances. If a participant earns the full ₦45,000 / $30 reward cap, they are no longer eligible for further rewards under this campaign. A total of $100,000 has been allocated for this TRON Cashback Campaign. In the event the total rewards exceed the allocated $100,000, rewards will be paid out on a first-come, first-served basis. Therefore, users who qualified earlier will be prioritised for payout purposes over users who signed up for the promotion at a later stage. User costs of purchasing TRON (TRX) does not include network fees, withdrawal fees, or any other third-party costs. The rewards will be distributed in TRON (TRX) every Monday from Jun 16, 2025 to Jul 7, 2025 and shall apply only to transactions made within the Blockchain.com Wallet in accordance with these Terms. Entries are limited to one (1) entry per person, meaning each user can qualify a maximum of 3 times, up to a total reward distribution of ₦45,000 / $30 (paid in TRX). If a user reaches the total reward distribution of ₦45,000 / $30 before using up the 3 eligible entries, they will not be allowed to enter the promotion again. If a user is found to be engaging in fraudulent activity (e.g., but not limited to, multiple accounts, wash trading, device sharing or other prohibited practices), Blockchain.com reserves the right to disqualify users engaging in these, as well as any other practices it deems fraudulent, and revoke any rewards. Blockchain.com shall not have any responsibility or obligation to a Participant of the Promotion who is unable or unavailable to, or who does not for any reason, decide to take part in the Promotion and/or accept their Reward. All costs and expenses not specifically listed above as part of the Promotion are solely the Promotion Participant’s responsibility, who agrees to comply with any additional Promotion terms and conditions. All federal, state and local tax liability and any other costs and expenses associated with the or use of the Promotion not specifically provided for in these Terms are the sole responsibility of the Promotion Participant (regardless of whether a Qualifying Purchase is made).
   
   
4. Eligible Participant Verification. The Participant may be required to prove eligibility in accordance with paragraph 1 of the Terms. This may include, without limitation, any or all of the following: proof of age, residence and identity (e.g., via driver’s license, passport or similar government issued identification) within the time period required by Blockchain.com in order to participate in the Promotion. The Participant’s eligibility is not official until all documentation required by Blockchain.com has been obtained, and the eligibility has been verified. If the Participant fails to complete all necessary documentation as required by Blockchain.com, they will forfeit their participation in the Promotion. 

5. Liability Release and Indemnity. THE REWARD IS OFFERED AND PROVIDED “AS IS” WITH NO WARRANTY OR GUARANTEE BY BLOCKCHAIN.COM, EITHER EXPRESS OR IMPLIED. IN NO EVENT WILL BLOCKCHAIN.COM NOR ANY OTHER RELEASED PARTIES BE LIABLE TO ANY ENTRANT OF THE PROMOTION FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THEIR PARTICIPATION IN THE PROMOTION, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT BLOCKCHAIN.COM AND/OR OTHER RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

By participating in the Promotion, you agree to indemnify, defend and hold harmless Blockchain.com and each of the foregoing entities’ respective parent and affiliate companies, vendors, suppliers, agencies, consultants, subcontractors and legal counsel and each of their respective officers, directors, employees and agents, as well as the immediate family (spouse, parents, siblings and children) and household members of each such individual (collectively, the “Released Parties”) from any and all liability for any claims, damages, injuries or losses of any kind, and to release all rights to bring any claim, action or proceeding arising out of, in connection with or relating to, (i) participation in Promotions, (ii) personal injury or property damage arising directly or indirectly from the acceptance, possession, misuse or use of the Reward, (iii) defamation or portrayal in a false light (intentional and unintentional), violation of publicity rights or invasion of privacy in connection with the Promotion or acceptance and use of the Reward, and (iv) any violation of third party intellectual property or other proprietary rights arising from or related to the Promotion or Blockchain.com’s advertising and marketing related to the Promotion, any entrants, in all cases. You assume all liability for any injury or damage caused, or claimed to be caused, by your participation in the Promotion, or the use of the Reward. You further agree that in any cause of action, Blockchain.com’s and/or the Released Parties’ liability will be limited to the value of the Reward, and in no event shall Blockchain.com be liable for attorney’s fees. The foregoing is only to the extent permitted by applicable law.

6. General Terms. Blockchain.com is not responsible if the Promotion cannot take place, or if the Reward cannot be awarded due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government or other events outside of the reasonable control of Blockchain.com. If for any reason the Promotion is not capable of running as planned, Blockchain.com reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in whole or in part. If the Promotion in whole or in part is terminated or modified prior to the closing of the Promotional Period, notice will be communicated by Blockchain.com. Blockchain.com reserves the right to modify and amend these Terms from time to time during the Promotional Period for clarification purposes. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. If any provision of these Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Blockchain.com’s failure to enforce any provision of these Terms will not constitute a waiver of that term or any other provision of these Terms. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of these Terms or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials, Blockchain.com’s User Agreement or Privacy Notice and/or these Terms, these Terms shall prevail. All federal, state and local laws and regulations apply. These Terms and the Promotion in general shall be governed by and construed in accordance with Florida law, without giving effect to any choice of law or conflict of laws rules.

7. Privacy. All information submitted by you that is collected by Blockchain.com in connection with your participation in the Promotion will be subject to Blockchain.com’s User Agreement (https://www.blockchain.com/legal/terms) and its Privacy Policy https://www.blockchain.com/legal/privacy. By participating in the Promotion, you hereby agree that Blockchain.com may collect and use your personal information submitted in connection therewith, and you acknowledge that you have read Blockchain.com’s Privacy Policy.

8. Binding Arbitration. Except where prohibited by law, you agree that (1) ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, (2) any dispute, controversy or claim arising out of or relating to the Promotion shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, (3) any arbitration shall be heard by one (1) arbitrator to be selected in accordance with the AAA Rules, in Miami, Florida, (4) unless both you and Blockchain.com agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of class or representative proceeding, (5) judgment upon any award rendered may be entered in any court having jurisdiction thereof and (6) any award or judgment shall be subject to all limitations and releases set forth in these Terms and be limited to actual out of pocket damages, and shall not, in any event, include any punitive, exemplary, consequential or incidental damages, attorney’s fees or costs of bringing a claim, or any injunctive or other equitable relief. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
