These Promotion Terms and Conditions (the “Terms”) set forth the rules governing the promotion sponsored and administered by Blockchain.com Labs, 2nd Floor Water’s Edge Building, Wickhams Cay II, Road Town, Tortola VG1110, British Virgin Islands (“Blockchain.com” or the “Sponsor”), called the “Perpetuals Trading Competition]” (the “Promotion”) and govern your participation therein. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
1. Eligibility. The Promotion is open to individuals who are eighteen (18) years of age or older (or the age of majority in their jurisdiction of residence, whichever is greater) at the time of entry and who hold a Blockchain.com account eligible for perpetuals trading. The Promotion is NOT open to residents of jurisdictions where perpetuals trading is not available through the Blockchain.com app or lawful. No restriction is placed on a participant’s onboarding state beyond the geographic exclusions set out above. Employees, officers and representatives, and the immediate family members of the foregoing individuals, of the Sponsor or its affiliated and related companies, participating promotional partners, promotional and advertising agencies, and any company involved in the creation, design, execution, production or fulfilment of the Promotion (collectively, the “Promotion Entities”) are not eligible to enter. For the avoidance of doubt, eligibility is subject to all applicable laws and regulations in the participant’s jurisdiction of residence.
2. Promotion Period. The Promotion is a seven (7)-day competition that shall run from [June 25 2026, at 2:00PM UTC] until [July 2 2026, at 2:00PM UTC] (the “Promotion Period”). All eligible trading activity must be completed during the Promotion Period. The Sponsor’s systems are the official timekeeping device for purposes of the Promotion.
3. How to Enter. To be eligible to win a Prize, eligible participants must execute qualifying trades during the Promotion Period as follows:
(a) A “Qualifying Trade” is any perpetual trade filled through Blockchain.com’s application with a notional value of at least $10 USD (or its equivalent) executed during the Promotion Period, as recorded on the Blockchain.com trading system. Only open position fills are counted; closing fills are not counted separately. The direction of a trade (long or short) does not affect eligibility. Liquidation fills constitute Qualifying Trades.
(b) “Trading Volume” means the aggregate notional value of all of a participant’s Qualifying Trades during the Promotion Period, calculated as the product of position size and fill price (size × price expressed in USD) for each Qualifying Trade.
(c) To be eligible to win a Prize, a participant must execute at least one (1) Qualifying Trade on each of at least three (3) distinct calendar days (UTC) within the Promotion Period (the “Activity Requirement”). A participant who does not satisfy the Activity Requirement will not be eligible for any Prize, regardless of their Trading Volume rank.
(d) A participant’s standing on the Promotion leaderboard is determined solely by their total Trading Volume accumulated during the Promotion Period. The ten (10) eligible participants with the highest Trading Volume who also satisfy the Activity Requirement will be the prize recipients, subject to winner verification as described in Section 7.
(e) A participant’s Trading Volume and leaderboard standing are automatically calculated based on their trading activity on the Blockchain.com platform. No separate registration or action is required beyond executing Qualifying Trades during the Promotion Period.
4. Entry Conditions. When participating, you are required to provide complete and truthful information in connection with your Blockchain.com account. Entries submitted by persons who do not meet the eligibility requirements are void. You are not permitted to use any scripts, computer programs, robotic, repetitive, macro, automatic, programmed or similar automated trading methods or agents, including but not limited to wash trading, self-dealing, or any form of coordinated or manipulative trading activity designed to artificially inflate Trading Volume. The Sponsor reserves the right, in its sole discretion, to disqualify any participant whose trading activity it reasonably believes to be fraudulent, manipulative or otherwise non-compliant with these Terms or the Sponsor’s general terms of service. All entries are the property of the Sponsor. By participating in the Promotion, you agree to be bound by these Terms and to comply with all applicable laws, rules and regulations. Winning a Prize is contingent upon fulfilling all requirements set forth in these Terms.
5. The Promotion Prizes. The Promotion’s total prize pool is $10,000 USD, paid in ETH on the Ethereum mainnet at the prevailing ETH/USD rate at the time of payout, distributed to the top ten (10) eligible participants by Trading Volume as follows (each award, a “Prize”):
(i) 1st place: $2,500 USD
(ii) 2nd place: $2,000 USD
(iii) 3rd place: $1,500 USD
(iv) 4th place: $1,000 USD
(v) 5th through 10th place: $500 USD each
Prizes will be transferred in ETH to the Ethereum mainnet wallet address used by each winner within 14 days of the conclusion of the winner verification process described in Section 7, subject to completion of all required documentation. If for any reason a Prize, or any part of it, is unavailable or is delayed, cancelled or postponed, the Sponsor reserves the right to modify the Promotion and award a substitute prize, or portion thereof, of comparable or greater value. No substitution, transfer, assignment or cash equivalent of the Prize, or any portion thereof, is permitted by the winner. Neither the Sponsor, the Promotion Entities nor any other of the Released Parties (as defined below) shall have any responsibility or obligation to a winner who is unable or unavailable to, or who does not for any reason, accept or utilise the Prize. All costs and expenses not specifically listed above as part of the Prize are solely the winner’s responsibility. The Prize is provided “as is”. You acknowledge that neither the Sponsor, the Promotion Entities nor any other of the Released Parties have made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize, including in respect of the market value of ETH at the time of receipt or thereafter. The value of the Prize may be taxable to the winner as income. All applicable tax liability and any other costs and expenses associated with the acceptance or use of the Prize not specifically provided for in these Terms are the sole responsibility of the winner (regardless of whether the Prize, in whole or in part, is used or retained). Winners are solely responsible for reporting and paying any applicable taxes in their jurisdiction of residence.
6. Winner Selection and Notification. At the conclusion of the Promotion Period, the Sponsor will tabulate each participant’s total Trading Volume and verify satisfaction of the Activity Requirement. The ten (10) participants with the highest Trading Volume who satisfy the Activity Requirement will be identified as potential winners. In the event that two or more participants are tied on Trading Volume, the participant who reached that volume level first, as determined by the Sponsor’s systems, shall rank higher.
Winners will be notified at the email address or through the communication channel associated with their Blockchain.com account within 7 days of the conclusion of the Promotion Period. The Sponsor and the Promotion Entities reserve the right to make a public announcement of the winners in any manner deemed reasonably appropriate (such as via the Blockchain.com website, app, social media and/or similar platform).
7. Winner Verification. Prior to prize payout, each winner may be required to prove eligibility, which may include, without limitation, proof of age, residence and identity (e.g., via government-issued identification such as a passport or national identity card) and confirmation of their designated Ethereum mainnet wallet address, within the time period required by the Sponsor. If a winner fails to complete all necessary documentation as may be required by the Sponsor, they will forfeit the Prize and it will be awarded to the next-ranked eligible participant. The Sponsor expressly reserves the right to delay any announcement in its discretion.
8. Risk Disclosures. The Sponsor provides a technological interface that enables your self-custodial wallet to interact directly with independent third-party decentralized exchanges and applications, which may include smart contracts and protocols (collectively, “Third Party Services”). Participation in the Promotion involves trading perpetual contracts on a Third Party Service. Perpetual contracts are complex instruments that carry a high degree of risk. You enter into these transactions at your own risk and acknowledge that you may lose all funds associated with such transactions, and that the Sponsor is not responsible for any such losses.
The Sponsor does not operate or control any such Third Party Service, and does not execute transactions on your behalf or exercise discretion with respect to transaction parameters, routing, payment, or selection of counterparties. The Sponsor is not your counterparty, broker, adviser, fiduciary, or intermediary in any transaction. Participation in this Promotion should not be construed as investment advice or a recommendation to trade any specific market or instrument. You are solely responsible for your own trading decisions and any losses incurred in connection with your participation in the Promotion.
The Sponsor may receive a portion of fees generated by protocol-level transactions.
Participation in the Promotion does not constitute a recommendation or invitation to enter into any particular perpetual contract transaction.
9. Liability Release and Indemnity. THE PRIZES ARE OFFERED AND PROVIDED “AS IS” WITH NO WARRANTY OR GUARANTEE BY THE SPONSOR OR ANY PROMOTION ENTITY, EITHER EXPRESS OR IMPLIED. IN NO EVENT WILL THE SPONSOR NOR ANY PROMOTION ENTITY NOR ANY OTHER RELEASED PARTIES BE LIABLE TO ANY PARTICIPANT FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THEIR PARTICIPATION IN THE PROMOTION, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT THE SPONSOR AND/OR OTHER PROMOTION ENTITIES AND/OR OTHER RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
By participating in the Promotion, you agree to indemnify, defend and hold harmless the Sponsor, the Promotion Entities, and each of the foregoing entities’ respective parent and affiliate companies, vendors, suppliers, agencies, consultants, subcontractors and legal counsel and each of their respective officers, directors, employees and agents, as well as the immediate family (spouse, parents, siblings and children) and household members of each such individual (collectively, the “Released Parties”) from any and all liability for any claims, damages, injuries or losses of any kind, and to release all rights to bring any claim, action or proceeding arising out of, in connection with or relating to, (i) participation in the Promotion, (ii) any loss arising directly or indirectly from the acceptance, possession, misuse or use of the Prize, (iii) any trading losses, market movements or other financial consequences arising from perpetuals trades executed in connection with the Promotion, (iv) defamation or portrayal in a false light, violation of publicity rights or invasion of privacy in connection with the Promotion or acceptance and use of the Prize, and (v) any violation of third party intellectual property or other proprietary rights arising from or related to the Promotion, the Prize, or the Sponsor’s advertising and marketing related to the Promotion, in all cases. You assume all liability for any injury or damage caused, or claimed to be caused, by your participation in the Promotion, or the acceptance, receipt or use of the Prize or any portion thereof. You further agree that in any cause of action, the Released Parties’ liability will be limited to the value of the applicable Prize, and in no event shall the Sponsor or any of the Promotion Entities be liable for legal costs. The foregoing is only to the extent permitted by applicable law. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
10. Grant of Rights. Except where prohibited by law, by participating in the Promotion and/or winning a Prize, you irrevocably consent to the use of your name, image, photograph, likeness, biographical information, entry, statements attributed to you (if true) and any content related to the Prize, for all Promotion Entities’ advertising, promotional or other commercial purposes in all media now or hereafter known, worldwide and in perpetuity without additional compensation. You also consent to the Promotion Entities publishing your name and/or wallet address (truncated or in full) on a winner’s list.
11. General Terms. Neither the Promotion Entities nor any other of the Released Parties are responsible if the Promotion cannot take place, or if any Prize cannot be awarded, due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labour disputes, work stoppages, fire, acts of government, regulatory changes, technical failures, blockchain network disruptions, market disruptions or other events outside of the reasonable control of the Sponsor or the Promotion Entities or any other of the Released Parties. If for any reason the Promotion is not capable of running as planned, the Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in whole or in part. If the Promotion in whole or in part is terminated or modified prior to the closing of the Promotion Period, notice will be communicated by the Sponsor. The Sponsor reserves the right to modify and amend these Terms from time to time during the Promotion Period for clarification purposes. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. In the event that any provision of these Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor’s failure to enforce any provision of these Terms will not constitute a waiver of that term or any other provision of these Terms. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and/or these Terms, these Terms shall prevail.
12. Binding Dispute Resolution. Except where prohibited by law, you agree that (1) ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE PROMOTION OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, (2) any dispute, controversy or claim arising out of or relating to the Promotion or any prize awarded shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, (3) any arbitration shall be heard by one (1) arbitrator to be selected in accordance with the AAA Rules, (4) unless both you and Blockchain.com agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of class or representative proceeding, (5) judgment upon any award rendered may be entered in any court having jurisdiction thereof and (6) any award or judgment shall be subject to all limitations and releases set forth in these Terms and be limited to actual out of pocket damages, and shall not, in any event, include any punitive, exemplary, consequential or incidental damages, attorney’s fees or costs of bringing a claim, or any injunctive or other equitable relief. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
Nothing in this Section shall deprive any participant of any mandatory rights or remedies available under applicable law. If you are resident in the European Economic Area, nothing in these Terms shall prevent you from bringing a claim before the courts of your country of residence where such right is provided by applicable law, nor shall any provision of this Section limit any consumer protection rights that cannot be waived or restricted by law.
13. Privacy. All information submitted by you that is collected by the Sponsor in connection with your participation in the Promotion will be subject to Blockchain.com’s Terms of Service (https://www.blockchain.com/legal/terms) and its Privacy Policy (https://www.blockchain.com/legal/privacy). By participating in the Promotion, you hereby agree that the Sponsor may collect and use your personal information submitted in connection therewith, and you acknowledge that you have read Blockchain.com’s Privacy Policy.
14. Accessibility of Official Rules. A copy of these Terms is available via [https://support.blockchain.com/hc/en-us/sections/17113468852764-Promotions]. Where required by law, the Sponsor will provide the names of the winners to those who request it. To request this information, send an email to support@blockchain.com within two (2) weeks of the end of the Promotion Period.
